Terms of Service

Tally (tally.markets) is operated by Prosperity Labs, LLC, a limited liability company registered in the United States. “We,” “us,” and “Tally” in these terms mean Prosperity Labs, LLC — that is the party you contract with.

Tally provides a private trading thesis journal and AI connector, with free and paid plans. Journal actions do not execute trades. An optional, separately authorized agent can run on a simulated prop firm account. With the Propr API key you give it, the agent reads the Propr account you chose and places and cancels orders on that one account, on fixed rules you read before you authorize it. It never buys a challenge, transfers funds, or requests a payout. Orders it places carry Tally's attribution code with Propr, which Propr's builder program may reward, and if you created your Propr account through Tally's link, Propr may pay Tally when you buy a challenge; neither changes your fees. The journal lets you record investment theses, pre-register exit criteria, and log trades you execute yourself.

The agent runs rules, not judgment. Tally does not promise that any challenge passes, that any limit is never touched, that any stop fills at its price, that any order is accepted, or that the agent runs without interruption. Propr can close an account the moment it touches a limit, under Propr's own terms. You authorize the agent on an account you are entitled to use, you can stop it at any time, and you remain responsible for the account and for every challenge fee you choose to pay Propr.

Tally is not a broker, dealer, exchange, prop firm, investment adviser, or money transmitter. We do not hold or transfer customer funds and do not provide investment advice or recommendations. Nothing in the product, including the agent's rules, its reports, templates, or example theses, is a recommendation to buy or sell anything. Trading involves substantial risk of loss. Decisions and their outcomes are yours alone.

You need an account to use the product. Keep your credentials secure; you are responsible for activity under your account. You must be of legal age in your jurisdiction. The Propr API key you give Tally must be your own, for a Propr account you are entitled to use under Propr's terms and the laws that apply to you, and you may revoke it at any time. By authorizing the agent you instruct Tally to place and cancel orders on that account under the rules shown to you; that authorization stands until you stop the agent or remove the account.

Free includes the AI connector and limited journal creation. Sentinel is $9/month or $49/year. Connected is $89/month and adds optional read-only broker syncing; it does not execute brokerage trades. Available data and its freshness depend on the brokerage and SnapTrade. Trade-to-thesis reconciliation is not currently enabled. At the end of Connected access, new broker reads stop and its broker enrollment is removed; journal records remain available.

The subscription is billed monthly or yearly, in advance, through Stripe, and renews automatically at the end of each period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.

All payments are final: we do not offer refunds or credits for partial months or years, unused time, or changes of billing period, except where a refund is required by applicable law. Where you have a statutory withdrawal right (for example, under EU or UK consumer rules for digital services), you consent to the service beginning immediately upon purchase and acknowledge that this may end that withdrawal right once the service has been supplied.

Prices may change; changes apply from your next billing period after notice, never retroactively.

Members receive a personal referral code. When someone signs up through your link and pays for a subscription, you accrue a commission of 40% of the subscription payments we actually receive from them, for as long as they remain a paying subscriber and the program continues.

Commissions are settled in arrears, no earlier than 30 days after they accrue, to allow for the payment-dispute window. If a referred payment is refunded, disputed, or charged back, the matching commission is reversed. Self-referrals, fraudulent signups, and abuse void the related commissions. We may change or end the program prospectively; commissions already accrued on payments already received are honored.

Don't abuse the service: no unauthorized access, scraping at scale, reselling access, interfering with other users' data, or using Tally for unlawful activity. We may suspend or terminate accounts that do, with accrued-but-unpaid referral commissions from abuse forfeited.

The product relies on third-party services (hosting, authentication, payments, the prop firm, market data, email). Propr's and Hyperliquid's data may arrive late, incomplete, or wrong; the agent's decisions are derived from it; an order may be rejected, a stop may fill away from its price, a service may be unreachable for a time, and an alert may fail to send. Do not rely on Tally as your only record or warning system for an account that matters to you. Receipt pages you choose to share are, by design, public.

The service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, our total liability for any claims arising from the service is limited to the subscription fees you paid us in the twelve months before the claim. We are not liable for trading losses, lost profits, or indirect or consequential damages. Nothing in these terms excludes liability that cannot lawfully be excluded.
